股权激励是将公司的股权或者股权收益权授予企业中高层管理人员、业务骨干和技术骨干,使他们参与决策、分享收益、承担风险,从而激励员工为公司长期发展服务的一种制度安排。

Equity incentive is an institutional arrangement that grants the company's equity or equity income right to the middle and senior managers, business backbones and technical backbones of the enterprise, so that they can participate in decision-making, share profits and take risks, so as to motivate employees to serve the long-term development of the company.

限制性股票:指激励对象按照股权激励计划规定的条件,获得的转让等部分权利受到限制的本公司股票。限制性股票在解除限售前不得转让、用于担保或偿还债务。

Restricted stock: refers to the shares of the company whose transfer and other rights are restricted by the incentive object in accordance with the conditions specified in the equity incentive plan. The restricted shares shall not be transferred, used to guarantee or repay debts before the restriction on sale is lifted.

股票期权:指上市公司授予激励对象在未来一定期限内以预先确定的条件购买本公司一定数量股份的权利。激励对象获授的股票期权不得转让、用于担保或偿还债务。

Stock option: refers to the right granted by the listed company to the incentive object to purchase a certain number of shares of the company under predetermined conditions within a certain period of time in the future. The stock options granted to incentive objects shall not be transferred, used to guarantee or repay debts.

锁定期:限制性股票授予日与首次解除限售之间的时间。

Lock up period: the time between the granting date of restricted shares and the first release of restrictions.

等待期:股票期权授予日与首次可行权日之间的时间。

Waiting period: the time between the grant date of stock options and the first vesting date.

股权激励要点

Key points of equity incentive

定人:确定激励对象人选。切忌激励对象由老板拍脑袋想出,宜根据个人贡献筛选。

Fixed person: determine the candidate of incentive object. Do not let the incentive object be thought up by the boss. It should be selected according to personal contributions.

定量:总量&个量。老板愿意拿出多少股份,关键在于公司的发展阶段和老板的胸怀、格局;可以分给激励对象多少股份,关键在于激励对象的贡献度如何衡量。

Quantitative: total quantity & quantity. How much shares the boss is willing to give depends on the company's development stage and the boss's mind and pattern; How many shares can be distributed to the incentive object depends on how to measure the contribution of the incentive object.

定价格:公平合理,激励对象与老板双方接受,符合法律规定即可。

Price setting: fair and reasonable, accepted by both the incentive object and the boss, and in line with the legal provisions.

定时间:解锁(行权)时间&授予时间等,上市公司需符合法律规定,非上市公司可参照执行,灵活性大,可根据公司实际情况个性化设计。

Fixed time: Unlock (exercise) time & Grant time, etc. the listed company shall comply with the legal provisions, and the non listed company can refer to the implementation, which is flexible and can be personalized designed according to the actual situation of the company.

参照法律:《上市公司股权激励管理办法》,在股票期权有效期内,上市公司应当规定激励对象分期行权,每期时限不得少于12个月,后一行权期的起算日不得早于前一行权期的届满日。每期可行权的股票期权比例不得超过激励对象获授股票期权总额的50%。
