股权结构设计、股权激励设计的执行八步

一般而言,公司更愿意在行业低迷期推出股权激励计划,因为这时候推出的考核指标更容易完成,效应也更加理想。股权激励计划的执行包括以下八个骤:

一,确定股权合作的内容:包含做什么、公司的经营范围等。

二,了解股权结构,股树权分为三种含义:期权(只有分红权、没有注册,民营企业亦称之为分红权);虚拟股(在完成一定的目标或时间的前提下有注册,需以合同形式提前约定);注册股(拥有法律章程保护的注册权)。

五,规定股份的赠予要点,例如两年内为期权或虚拟股,两年内离开无股份,两年以上可以转为注册股,但离开按注册资本的百分比进行赔偿等。

5、 Specify the key points for the gift of shares, such as options or virtual shares within two years, leaving without shares within two years, and being able to convert to registered shares after two years, but compensation will be based on the percentage of registered capital for leaving.

六,权力规定,如财务权和战略权归集团董事会,核心干部任免归集团总裁办,人员招聘与业绩管理归分子公司总经理。

6、 Power regulations, such as financial and strategic rights belonging to the group's board of directors, appointment and removal of core cadres belonging to the group's president's office, personnel recruitment and performance management belonging to the general managers of subsidiary companies.
