股权通过什么形式起到管理手段的作用

(2)股票期权(StockOptions)。这是目前为经典、使用为广泛的股权激励方式,指股东授予激励对象(如高管人员、技术骨干等)以-定价格(行权价)购买本公司股票的选择权,具有这种选择权的人,可以在规定的时间内,以行权价从本公司购买定数量的股票(此过程称为“行权”),也可以选择放弃购买的权利。股票期权-般情况下不允许转让。

(2) Stock Options. This is currently a classic and widely used equity incentive method, which refers to the option granted by shareholders to incentive objects (such as executives, technical backbone, etc.) to purchase our company's stocks at a fixed price (exercise price). People with this option can purchase a certain number of stocks from our company at the exercise price within a specified time (this process is called "exercise"), or choose to give up the right to purchase. Stock options are generally not allowed to be transferred.

(3)限制性股票(restrictedstocks)。指上市公司按照预先确定的条件授予激励对象一定数量的本公司股票,激励对象只有在工作年限或业绩目标等符合股权激励计划规定条件的,才可出售限制性股票并从中获益。

(3) Restricted stock. It means that the listed company grants a certain number of shares of the company to incentive objects according to predetermined conditions. Incentive objects can only sell Restricted stock and benefit from them if they meet the conditions specified in the equity incentive plan, such as working years or performance goals.

(4)员工持股计划(EmplyeeStockOwershipPlans,ESOP)。属于长期激励的一种,兴起于20世纪50年代的美国,以福特公司为典型代表,其特点是通过全员持股的方式强化员工的主人翁精神。

(4) Employee Stock Ownership Plans (ESOP). It belongs to a type of long-term incentive that emerged in the United States in the 1950s, with Ford Company as a typical representative. Its characteristic is to strengthen employees' sense of ownership through the use of full employee shareholding.

(5)股票增值权(StockApreciationRights,SARs)。通常与认购权配合使用,其中股票增值权不须实际购买股票,经理人直接就期末公司股票增值部分(期末股票市价减去约定价格的余额)得到一笔报酬,经理人可以选择增值的现金或购买本公司的股票。

(5) Stock Appreciation Rights (SARs). Usually used in conjunction with subscription rights, the stock appreciation right does not require the actual purchase of stocks. The manager directly receives a reward for the appreciation of the company's stocks at the end of the period (the balance of the market price of the stocks at the end of the period minus the agreed price), and the manager can choose to add value in cash or purchase the company's stocks.

(6)延期支付计划(DeferredCompensationPlan,DCP)。也称延期支付,是指公司将管理层的部分薪酬,特别是年度奖金、股权激励收入等按当日公司股票市场价格折算成股票数量,存人公司为管理层人员单独设立的延期支付账户。在既定的期限后或在该高级管理人员退休以后,再以公司的股票形式或根据期满时的股票市场价格以现金方式支付给激励对象。

(6) Deferred Compensation Plan (DCP). Also called deferred payment, it refers to the deferred payment account that the company converts part of the management's salary, especially the annual bonus, equity incentive income, etc. into the number of shares according to the company's stock market price on the day, and the depository company sets up separately for the management personnel. After the fixed period or after the retirement of the senior manager, the incentive object will be paid in cash in the form of shares of the company or according to the stock market price at the expiration.

(7)业绩股票(PerformanceShares)。是指在年初确定-个较为合理的业绩目标,如果激励对象到年末时达到预定的目标,则公司授予其定数量的股票或提取一定的奖励基金购买公司股票。业绩股票的流通变现通常有时间和数量限制。

(7) Performance Shares. It refers to setting a relatively reasonable performance target at the beginning of the year. If the incentive target reaches the predetermined target by the end of the year, the company grants it a certain number of stocks or withdraws a certain amount of incentive funds to purchase company stocks. The circulation and realization of performance stocks usually have time and quantity restrictions.

(8)无条件赠与。这种方式一般是公司大股东提供股权,采用无偿转让的方式对被激励对象实施激励。

(8) Unconditional gift. This method usually involves the major shareholders of the company providing equity and using a free transfer to incentivize the target.
