详细讲解股权架构设计的目标内容

创业企业要设计一个股权架构,总得来说是,有利于公司整体的发展,而不是个别股东利益大化:

A startup enterprise should design an equity structure, which is generally conducive to the rapid development of the company as a whole, rather than the maximization of the interests of individual shareholders:

1、维护创始人控制权。当然这种控制权是有益的,其目的是保障公司有一个决策者。用控制权,树立创始人在团队内部的影响力和话语权也是很有帮助的。

3、让员工分享公司财富效应。有创始人和合伙人,对一一个发展的创业企业来说还不够,需要有积极努力的员工,才能完成创业的使命。

4、促进投资者进入。现在创业创新,很大一个特点就是有资本的助力,所以股权架构设计要考虑资本如何进入,因为投资人投出巨额资金,但往往只是占小股东,所以需要有一些特设的安排。

对于企业而言,股权设计就是对其基因进行设计。一方面,股权设计作为公司的顶层设计,部分情况下具有不可逆的特征。如当出现平均股权、随意承诺股权、没有退出机制、没有动态股权机制的情况时,公司后期发展可能就会受制于股权。
