一、股东身份权

1、 Shareholder identity right

按照公司法规定，公司成立后，应当向股东签发出资证明书，登记在出资证明书上的人成为公司股东，享有股东权利。

According to the provisions of the company law, after the establishment of the company, a capital contribution certificate shall be issued to the shareholders. The person registered on the capital contribution certificate shall become the shareholders of the company and enjoy the rights of shareholders.

企业应该向当地工商局登记股东的姓名或者名称，相关事项发生变更需要办理变更手续，如果没有登记或者没有变更，不能对抗第三方。

二、参与决策权

Whether it is a limited liability company or a joint stock limited company, the shareholders' meeting is composed of all shareholders. It is the authority of the enterprise and enjoys the decision-making power on major matters of the company according to law.

三、选择、监督权

3、 Right of choice and supervision

股东会是公司的高权力机构，有权选举和更换董事、监事。有权决定董事、监事的报酬事项。

The board of shareholders is the highest authority of the company and has the right to elect and replace directors and supervisors. Have the right to decide on the remuneration of directors and supervisors.

四、知情权

4、 Right to know

公司的股东有查阅和复制公司章程、股东会会议记录、董事会会议记录、监事会会议记录、以及财务报告的权力，股东可以要求查阅公司会计账簿。

The shareholders of the company have the right to consult and copy the articles of association, minutes of shareholders' meetings, minutes of meetings of the board of directors, minutes of meetings of the board of supervisors and financial reports. The shareholders may request to consult the accounting books of the company.

五、召开临时会议的权利

5、 Right to hold interim meetings

董事会如果不能履行或者不履行召集股东会议的职责，监事会应该组织并主持，如果监事会连续90日以上不召集、主持会议，则拥有企业10%股份以上或者合计拥有10%股份以上的股东，就可以自行组织临时会议的召开和主持。

If the board of directors is unable or fails to perform the duty of convening the shareholders' meeting, the board of supervisors shall organize and preside over the meeting. If the board of supervisors fails to convene and preside over the meeting for more than 90 consecutive days, the shareholders who own more than 10% shares of the enterprise or a total of more than 10% shares may organize the convening and presiding over the interim meeting by themselves.

六、优先受让、认购新股权

其他股东在相同条件下拥有经股东同意转让的资本的优先购买权，公司新增资本时，股东有权优先按照实缴的出资比例认缴。

Other shareholders have the preemptive right to purchase the capital transferred with the consent of the shareholders under the same conditions. When the company increases its capital, the shareholders have the priority to subscribe according to the proportion of paid in capital contribution.

七、退出权

7、 Withdrawal right

当符合公司法规定的情况下，股东若对股东会决议给出反对票，则能够请求企业按照合理的市场价格回购他的股权。

If a shareholder votes against the resolution of the shareholders' meeting in accordance with the provisions of the company law, he can request the enterprise to repurchase his equity at a reasonable market price.

八、代位诉讼权与诉讼权

8、 Subrogation right and litigation right

违反公司章程或法律、法规，损害股东利益的董事和高管人员，股东可依法向法院提出诉讼。

For directors and senior executives who violate the articles of association or laws and regulations and damage the interests of shareholders, shareholders may file a lawsuit to the court according to law.
